Impending Changes to the required Statement of Information

Beginning Monday, April 29, 2024, the California Secretary of State will no longer accept statements of information on paper. A corporation will be permitted to file only online through the BizFile portal.

There are some enhancements to the online statement of information form:

• California nonprofit religious and public benefit corporations will be able to name the same individual as CEO and CFO or Secretary if that is permitted by the entity’s bylaws.

• Out-of-state corporations (that is, “foreign” corporations) will be able to add directors and to enter the number of vacancies on the board of directors.

• There will be the ability to list more than 20 directors.

• The type-of-business field will have an increased number of characters permitted. Up to 100 characters may be entered.
